CONDITIONS
OF THE AGREEMENT OF PURCHASE AND SALE
through the execution of a document in electronic form

1. SUBJECT OF THE CONTRACT

1.1. Under this Agreement, the Seller undertakes to transfer to the Buyer the property that was in
the use of property (hereinafter referred to as the Goods).

The Buyer undertakes to accept and pay for the Goods in the manner and terms established by this Agreement.

1.1.1 Specified in clause 1.1. the condition and cost of the Goods are preliminary. final
the cost of the goods is determined in the manner and on the terms specified in the Contract.

1.2 The Seller guarantees the quality of the Goods transferred to the Buyer.

1.3 The Seller guarantees that at the time of the conclusion of the contract, the Goods sold do not belong to him, do not

1.4.3 There are no pledges, other encumbrances or interim measures in relation to the Goods or in connection with

1.4.4 The product is not counterfeit, stolen, lost or purchased as a result of
illegal actions.

1.4.5 The Seller has informed the Buyer of all defects in the Goods that are known to the Seller at the time
transfer of the Goods.

1.5 The Seller confirms his ownership of the Goods by deactivating the “Find Mac”, “Find
iPhone”, “find iPad” (depending on the Product) and removing all passwords, including EFI (Extensible
Firmware Interface) from the transferred Goods.

1.6 Goods paid for by the Buyer are non-refundable.

2. PRICE OF GOODS AND PAYMENT PROCEDURE. PROCEDURE FOR TRANSFER AND ACCEPTANCE OF GOODS

2.1. The Parties hereby confirm that the condition and cost of the Goods specified in clause 1.1. Agreements
are preliminary, as they are formed on the basis of the data specified by the Seller in the personal account
initial data about the Goods. The final cost of the goods will be formed after receiving it.

2.2. Payment by the Buyer of the Goods is made by non-cash transfer of funds to
card account specified by the Seller in the details of the Agreement within 1 day from the date of sending by the Buyer
“Confirmation of the condition and cost of the Goods” or the receipt by the Buyer from the Seller of a response
a message confirming acceptance of the terms of the additional agreement (offer).

2.3. This Agreement is simultaneously an act of acceptance and transfer of the Goods.

2.4. Obligations in terms of acceptance and transfer of goods under the contract are considered fulfilled from the moment
transfer by the Seller of the Goods to the Buyer (representative of the Buyer, representative of the courier service
specified by the Buyer), and the risk of accidental loss of the goods passes to the Buyer.

2.5. The ownership of the Goods passes to the Buyer from the moment of payment for the Goods.

3. RESPONSIBILITIES OF THE PARTIES

3.1. A Party that has not performed or improperly performed its obligations under this
Agreement, is obliged to compensate the other party for the losses caused by such non-performance.

3.2. In case of improper performance of obligations under the contract, the parties are liable in
in accordance with the requirements of the legislation of the Republic of Belarus.

3.3. The parties are released from liability for failure to perform or improper performance of their
obligations under this Agreement, if the reason for such non-fulfillment is the circumstances
force majeure (force majeure): earthquakes, floods, other natural disasters, mass
riots, strikes, other circumstances of an emergency nature that the Parties could not
anticipate or prevent.

3.4. In the event of force majeure circumstances preventing the performance of one of the parties
assumed obligations under this Agreement, this Party is obliged to notify in writing
the other Party within 3 days of the occurrence of such circumstances.

4. DISPUTES RESOLUTION

4.1. All disputes and disagreements under this Agreement shall be resolved by the Parties through negotiations.

4.2. If no agreement is reached through negotiations, the dispute is resolved in court at the place of
location of the Buyer. Compliance with pre-trial order is mandatory. Consideration period
claims – 10 calendar days.

5. FINAL PROVISIONS

5. 1. The procedure for concluding the Agreement and the relationship of the Parties in the part not regulated by the Agreement,
are regulated by the current legislation of the Republic of Belarus. This Agreement is concluded by
sending by the Buyer to the e-mail of the Seller of the Terms of the contract of sale, concluded through
execution of a document in electronic form (offer) with a notification of Activation and pressing by the Seller
button “Accept offer” (acceptance). By pressing the “Accept offer” button, the Seller confirms his consent
with the terms of the Agreement. After that, the Purchase and Sale Agreement signed by the Parties, containing all
the details of the Parties necessary for the execution of the Agreement, a response message is sent to e-mail
Buyer and Seller, which confirms the conclusion of the Agreement.

5.2. The Parties recognize the legal force of the Agreement signed by the Buyer using
facsimile (photographic) reproduction of the signature of the head (authorized representative)
the Buyer and the Buyer’s seal with a photo-image.

5.3. This Agreement is recognized as concluded on the date of receipt by the Buyer and the Seller by e-mail. mail
signed by the Parties, in the manner prescribed by clause 5.1., of the Sale and Purchase Agreement and is valid until
full fulfillment by the parties of their obligations.

5.4. Any changes and additions to this Agreement made in the form provided for
the conclusions of this Agreement are valid and binding on the Parties, unless otherwise
provided for by the current legislation of the Republic of Belarus, and are an integral part
actual agreement.
